Terms of Service

1. Agreement

By using AgentNative ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Service Description

AgentNative provides managed wallets and virtual Visa cards for AI agents via Stripe Issuing. The Service includes: wallet creation and management via API, virtual card issuance, spending control configuration, transaction monitoring, and decline notifications.

3. Eligibility

• You must be at least 18 years old.
• You must provide accurate account information.
• You are responsible for all activity under your account and API keys.
• You must comply with Stripe's terms of service and acceptable use policies.

4. API Keys and Access

• Your API keys are confidential. Do not share them or embed them in client-side code.
• You are responsible for securing your API keys. We store them as hashes and cannot recover them.
• We may revoke API keys that are compromised or used in violation of these terms.

5. Wallets and Cards

• Each wallet is associated with a virtual Visa card issued by Stripe.
• You are responsible for the spending controls you configure on each wallet.
• You are responsible for the actions of AI agents operating under your wallets.
• We are not liable for unauthorized transactions that occur within your configured spending limits.
• Card data (numbers, CVCs) is provided by Stripe and subject to Stripe's terms.

6. Spending Controls

You may set daily and monthly spending limits, merchant category restrictions, and freeze/unfreeze cards via the API. These controls are enforced at the card network level by Stripe. While we make best efforts to enforce these controls, network-level enforcement operates on a best-effort basis with potential brief delays, as documented by Stripe.

7. Fees

During beta, AgentNative charges no platform fees or per-transaction fees. You are responsible for standard Stripe Issuing costs (card creation fees, transaction fees) as charged directly by Stripe. We will provide at least 30 days notice before introducing any AgentNative platform fees.

8. Prohibited Uses

You may not use the Service to:

• Violate any applicable law or regulation.
• Facilitate fraud, money laundering, or terrorist financing.
• Process transactions for prohibited business categories under Stripe's terms.
• Circumvent spending controls or card network rules.
• Resell or redistribute the Service without our written consent.
• Attempt to access other users' wallets, cards, or data.

9. Limitation of Liability

The Service is provided "as is" and "as available." To the maximum extent permitted by law, AgentNative shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from your use of the Service.

Our total liability for any claim arising from the Service is limited to the fees you paid to AgentNative (not Stripe) in the 12 months preceding the claim, or EUR 100, whichever is greater.

10. Termination

You may close your account at any time by emailing hello@agentnative.sh. We may suspend or terminate your account if you violate these terms or if required by Stripe or applicable law. Upon termination, your wallets will be frozen and cards deactivated.

11. Governing Law

These terms are governed by applicable law. Any disputes shall be subject to the exclusive jurisdiction of the competent courts.

12. Changes

We may update these terms as our service evolves. Material changes will be communicated via email to account holders with at least 30 days notice. Continued use after changes take effect constitutes acceptance.
